Terms of Service

Please read these Terms of Service ("Terms") carefully before using the GrubStack platform. By creating an account or using any GrubStack product, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Acceptance of Terms

These Terms form a binding legal agreement between you ("Customer" or "you") and GrubStack ("GrubStack," "we," or "us"). By accessing or using the GrubStack platform, you represent that you are at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or the business you represent.

2. Description of Service

GrubStack is a subscription-based software platform for independent restaurants that includes three products:

• GrubStack API — a RESTful API for building custom ordering integrations
• GrubStack Core — a restaurant management dashboard for menus, orders, and settings
• GrubStack Web — a customer-facing storefront for online ordering

All three products are included in a single subscription. GrubStack reserves the right to modify, update, or discontinue features at any time with reasonable notice.

3. Account Registration

To use GrubStack, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at contact@grubstack.app if you suspect unauthorized access.

You may not share your account credentials with others or create accounts on behalf of someone else without their explicit consent.

4. Subscription and Billing

GrubStack is offered on a subscription basis. By subscribing, you authorize us to charge the payment method on file at the beginning of each billing cycle. Subscriptions automatically renew unless cancelled before the next renewal date.

You may cancel your subscription at any time from your dashboard. Upon cancellation:

• Your account remains active until the end of the current billing period
• No partial refunds are issued for unused time within a billing period
• Your data is retained for 90 days following cancellation and then permanently deleted

GrubStack reserves the right to change pricing with at least 30 days' advance notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use GrubStack to:

• Violate any applicable law or regulation
• Process fraudulent transactions or engage in deceptive practices
• Transmit spam, malware, or any malicious code
• Attempt to gain unauthorized access to GrubStack systems or other accounts
• Use the platform for any purpose other than operating a legitimate food and beverage business

Violation of this section may result in immediate account suspension or termination without refund.

6. Payment Processing

GrubStack integrates with Stripe and Square for payment processing. By connecting a payment processor, you agree to that processor's terms of service and privacy policy. GrubStack is not responsible for errors, fees, or disputes arising from your payment processor account.

You are solely responsible for complying with all applicable tax laws related to transactions processed through your GrubStack storefront.

7. Intellectual Property

GrubStack retains all rights, title, and interest in and to the platform, including all software, design, trademarks, and documentation. These Terms do not grant you any ownership rights in GrubStack intellectual property.

You retain ownership of all content you upload to GrubStack, including menu items, images, and descriptions. By uploading content, you grant GrubStack a limited license to display and serve that content as part of the platform.

8. Limitation of Liability

To the fullest extent permitted by law, GrubStack shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business arising from your use of or inability to use the platform.

GrubStack's total liability to you for any claim arising from these Terms shall not exceed the amount you paid to GrubStack in the 3 months immediately preceding the claim.

9. Termination

Either party may terminate this agreement at any time. You may cancel your subscription from your dashboard. GrubStack may suspend or terminate your account for violation of these Terms, non-payment, or if required by law, with notice where reasonably practicable.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless both parties agree otherwise.

11. Changes to These Terms

We may revise these Terms at any time. For material changes, we will provide at least 14 days' advance notice via email or an in-platform notice. Your continued use of GrubStack after the effective date of any changes constitutes your acceptance of the revised Terms.
